These Affiliate Program Terms (the “Terms”) govern your participation in the Subi Affiliate Program (the “Program”), operated by Hengam (Nextwave Digital LTD) (“Subi”, “we”, “us”). By applying to or participating in the Program you (“Affiliate”, “you”) agree to these Terms. If you do not agree, do not apply.
1. Eligibility
- You must be at least 18 years old and able to form a binding contract.
- You must operate a legitimate website, channel, or audience relevant to Shopify merchants and e-commerce. Made-for-affiliate, thin, deceptive, adult, gambling, or otherwise brand-unsafe properties are not eligible.
- Enrollment is by application and manual review. We may approve or decline any application at our sole discretion, and approval is not guaranteed.
2. How the Program works
On approval you receive a unique referral link. When a Shopify merchant installs Subi through your link and becomes a qualifying customer, that install is credited to you.
- Bounty: USD $20 for each referred merchant who installs Subi and becomes a paying customer (a “paid install”).
- Revenue share: 25% of the revenue that referred merchant generates for Subi for twelve (12) months from their paid install.
- Attribution is determined solely by Subi’s tracking (first-touch, measured from the merchant’s install event). Where attribution is unclear or disputed, Subi’s records are final.
3. Qualifying referrals
A referral qualifies only when the merchant installs Subi through your link, completes onboarding, and becomes a paying customer on a qualifying plan. Installs that are cancelled, refunded, charged back, fraudulent, or that do not complete onboarding do not qualify, and any commission already accrued on them will be reversed (a “clawback”).
4. Prohibited practices
You must not, directly or indirectly:
- Bid on Subi’s brand terms. No paid-search or shopping-ad bidding on “Subi” or confusingly similar terms, misspellings, or your referral URL, and no brand-term display URLs.
- Self-refer. No commissions are payable on installs by you, your own stores, your employees, or entities you control, or on installs you arrange primarily to earn a commission.
- Spam. No unsolicited email, SMS, or messaging. All promotion must comply with CAN-SPAM, CASL, and applicable anti-spam and marketing laws.
- Manipulate tracking. No cookie stuffing, forced clicks, auto-redirects, iframes, adware, toolbars, browser extensions, typosquatting, or any technique that claims credit for installs you did not genuinely drive.
- Operate as a coupon/deal site in a way that intercepts existing organic demand, or offer unauthorized discounts, rebates, or incentivized installs.
- Misrepresent Subi or make false, misleading, or unauthorized claims, guarantees, or pricing about Subi or its features.
5. Required disclosures (FTC)
You must clearly and conspicuously disclose your affiliate/paid relationship with Subi wherever you share your link, in line with the U.S. FTC Endorsement Guides and equivalent rules in your jurisdiction. The disclosure must be placed before, or immediately adjacent to, the referral link (for example, “Affiliate link” or “#ad”) — not hidden in a footer or behind a “more” link.
6. Payouts and taxes
- Commissions accrue once a referral qualifies and are paid on Subi’s regular payout cycle, subject to a minimum payout threshold.
- Before your first payout you must provide valid tax documentation (e.g. IRS Form W-9 for U.S. persons or the applicable W-8 for non-U.S. persons) and accurate payout details. Payouts are held until this is provided.
- Commissions are reversible for the clawback events in Section 3. You are responsible for any taxes on amounts you receive.
7. Brand assets
We grant you a limited, non-exclusive, revocable licence to use Subi’s name and approved brand assets solely to promote Subi under these Terms. You may not modify the assets, imply partnership or endorsement beyond the affiliate relationship, or register domains, social handles, or trademarks containing “Subi”. All goodwill accrues to Subi.
8. Relationship of the parties
You are an independent contractor. Nothing in the Program creates an employment, agency, partnership, or joint-venture relationship, and you may not enter into obligations on Subi’s behalf.
9. Term, suspension, and termination
Either party may leave the Program at any time. We may suspend or terminate your participation, withhold or reverse commissions, and disable your link if we reasonably believe you have breached these Terms or engaged in fraudulent, abusive, or unlawful activity. Sections that by their nature should survive (including payout adjustments, clawbacks, and liability) survive termination.
10. Changes to the Program and these Terms
We may modify the Program, commission structure, or these Terms at any time. Material changes take effect when posted here (or on the effective date stated), and your continued participation constitutes acceptance.
11. Disclaimers and limitation of liability
The Program is provided “as is”. To the maximum extent permitted by law, Subi is not liable for indirect, incidental, or consequential damages, and our total liability relating to the Program is limited to the commissions payable to you in the three (3) months before the event giving rise to the claim.
12. Privacy
Personal data you submit is processed to operate the Program as described in our Privacy Policy.
13. Governing law
These Terms are governed by the laws of British Columbia, Canada, without regard to its conflict-of-laws rules, and you submit to the courts located there.
